These Terms of Service ("Terms") govern your use of PandaScribe, a voice-to-text application for macOS, Windows, and iOS, and the website pandascribe.app (collectively, the "Service"), operated by Sanklad Digital Ltd. ("we", "us", or "our").
By downloading, installing, or using PandaScribe, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
You must be at least 13 years old to use PandaScribe. If you are under 18, you must have permission from a parent or guardian to use the Service.
By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
You may transfer your license to a new device by deactivating it on your current device first. Device activations are tracked via anonymized hardware identifiers.

PandaScribe and all associated intellectual property rights (including but not limited to software, trademarks, logos, and content) remain the exclusive property of Sanklad Digital Ltd.
Your purchase grants you a license to use the software, not ownership of the software itself. All rights not expressly granted are reserved.
All payments are processed securely by our payment partner, Stripe. By making a purchase, you also agree to Stripe's Terms of Service.
Lifetime licenses are one-time purchases that grant you perpetual access to PandaScribe, including all future updates. "Lifetime" refers to the lifetime of the product, not the user.
All prices are displayed in USD and are exclusive of any applicable taxes, which will be calculated at checkout based on your location.
If you experience technical issues with PandaScribe, please contact us at support@pandascribe.app and we will work with you to resolve the issue.
Refund requests are handled on a case-by-case basis. Upon refund, your license will be deactivated.
PandaScribe offers a free trial with a limited number of transcriptions. The trial allows you to evaluate the software before purchasing.
Trial limitations and the number of free transcriptions may change at our discretion. The trial is limited to one per user/device.
If you are a consumer in the UK or EU, you have a statutory right to cancel your purchase within 14 days without giving any reason (the "cooling-off period").
However, by downloading PandaScribe and using the license key, you acknowledge that you are requesting immediate access to the digital content and that you lose your right of withdrawal once the download begins.
Please contact support if you believe PandaScribe does not meet expectations.
Under UK and EU law, digital products must conform to the contract for at least 2 years from delivery. If PandaScribe does not conform, you may be entitled to have it brought into conformity, receive a price reduction, or terminate the contract.
PandaScribe is provided "as is" and "as available" without warranties of any kind, either express or implied, to the fullest extent permitted by law.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid for PandaScribe in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless Sanklad Digital Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your violation of these Terms or misuse of the Service.
We may release updates to PandaScribe from time to time. Updates may be required to continue using certain features. Lifetime licenses include all future updates at no additional cost.
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
We may terminate or suspend your license immediately, without prior notice, if you breach these Terms. Upon termination:
You may terminate your license at any time by uninstalling the software and requesting deletion of your account data.
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
If you are a consumer in the UK or EU, you will benefit from any mandatory provisions of consumer protection law in your country of residence.
We encourage you to contact us first at support@pandascribe.app to resolve any disputes amicably. We will respond to complaints within 5 business days.
Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer entitled to bring proceedings in your local courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sanklad Digital Ltd. regarding the use of PandaScribe and supersede any prior agreements.
