End User License Agreement

1. Parties

This EULA is a legal agreement between:

• •"You" or "User" - the individual or entity installing and using the software
• •"Licensor", "We", or "Us" - Sanklad Digital Ltd.

2. Definitions

• •"Software" means the PandaScribe application for macOS, Windows, and iOS, including all updates, upgrades, and documentation.
• •"License Key" means the unique code provided upon purchase that activates the Software.
• •"Device" means a device (macOS, Windows, or iOS) on which the Software is installed and activated.
• •"Subscription" means a recurring payment plan granting access to the Software.
• •"Lifetime License" means a one-time purchase granting perpetual access to the Software.

3. License Grant

Subject to the terms of this EULA and payment of applicable fees, Sanklad Digital Ltd. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on the number of Devices permitted by your license tier.

3.1 License Tiers

3.2 Updates

Lifetime Licenses: Include all future updates and new versions at no additional cost for the lifetime of the product.

Subscriptions: Include all updates while the subscription is active.

3.3 Device Management

You may transfer your license to a different Device by first deactivating it on the current Device. Activation is tracked via an anonymized hardware identifier. You may not exceed the Device limit for your license tier.

4. Restrictions

You may NOT:

• ✗Copy, reproduce, distribute, or publicly display the Software
• ✗Modify, adapt, translate, or create derivative works of the Software
• ✗Reverse engineer, decompile, disassemble, or attempt to derive the source code
• ✗Remove, alter, or obscure any proprietary notices, labels, or marks
• ✗Sell, rent, lease, lend, sublicense, or transfer the Software or License Key
• ✗Share your License Key with others or publish it publicly
• ✗Circumvent, disable, or interfere with security or license verification features
• ✗Use the Software on more Devices than permitted by your license tier
• ✗Use the Software for any unlawful purpose or in violation of applicable laws
• ✗Use automated means (bots) to create accounts or circumvent limitations

5. Data Processing & Privacy

5.1 Local Processing

PandaScribe processes all audio and transcription locally on your Device. Your voice recordings, transcribed text, and document content are never transmitted to our servers or any third-party services.

5.2 License Verification

The Software communicates with our licensing servers to:

• •Validate your License Key upon activation
• •Verify subscription status (for monthly plans)
• •Manage Device activations

This communication includes only your License Key and an anonymized Device identifier. No personal information or usage data is collected.

5.3 Third-Party Services

The Software may download AI models from third-party servers (such as Hugging Face) for initial setup. These downloads are subject to their respective terms of service. No personal data is transmitted during model downloads.

6. Intellectual Property

6.1 Ownership

The Software and all copies thereof are proprietary to Sanklad Digital Ltd. and title remains with us. All rights in the Software not specifically granted in this EULA are reserved. The Software is protected by copyright laws and international treaty provisions.

6.2 Third-Party Components

The Software includes third-party open source components licensed under various licenses including MIT, Apache 2.0, and others. These components are subject to their respective license terms. A list of third-party components and their licenses is available in the Software's "About" section and in the bundled THIRD_PARTY_LICENSES file.

6.3 Your Content

You retain all rights to your transcriptions and any content you create using the Software. We claim no ownership over your content.

7. Disclaimer of Warranties

Some jurisdictions do not allow the exclusion of implied warranties. If you are a consumer in the UK or EU, you have statutory rights that cannot be excluded. This disclaimer does not affect those rights.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• •WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• •WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
• •OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sanklad Digital Ltd. and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• •Your violation of this EULA
• •Your violation of any applicable law or regulation
• •Your infringement of any third-party rights

10. Term and Termination

10.1 Term

This EULA is effective until terminated. Lifetime Licenses remain valid indefinitely unless terminated. Subscriptions remain valid while payment is current.

10.2 Termination by You

You may terminate this EULA at any time by uninstalling the Software and destroying all copies in your possession.

10.3 Termination by Us

We may terminate this EULA immediately without notice if you breach any term of this agreement. We may also terminate or suspend your license if:

• •You fail to pay subscription fees when due
• •You share or publicly distribute your License Key
• •You use the Software in violation of applicable laws

10.4 Effect of Termination

Upon termination, you must cease all use of the Software and delete all copies. Sections 4 (Restrictions), 6 (Intellectual Property), 7 (Disclaimer), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination.

11. Consumer Rights

11.1 UK & EU Consumers

If you are a consumer in the UK or European Union:

• •You have a statutory right to withdraw from your purchase within 14 days
• •By downloading and using your License Key, you consent to immediate delivery and acknowledge that you lose your right of withdrawal
• •Digital content must conform to contract for at least 2 years
• •Nothing in this EULA affects your statutory rights

11.2 Refund Policy

Refund requests are handled on a case-by-case basis. If you experience issues, contact us at support@pandascribe.app.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where:

• •You are a consumer entitled to bring proceedings in your local courts
• •Mandatory consumer protection laws in your jurisdiction provide otherwise

13. Changes to This EULA

We reserve the right to modify this EULA at any time. We will provide notice of material changes by:

• •Posting the updated EULA on our website
• •Displaying a notice within the Software
• •Updating the "Last updated" date

Your continued use of the Software after changes take effect constitutes acceptance of the modified EULA. If you do not agree to the changes, you must stop using the Software.

14. Miscellaneous

14.1 Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Sanklad Digital Ltd.

14.2 Severability

If any provision of this EULA is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer this EULA without our prior written consent. We may assign our rights and obligations under this EULA without restriction.
